DISPUTE RESOLUTION

Civil Litigation

  • Disputes arising from civil contracts, including loans, donations, leases and, more broadly, service agreements, whether involving businesses or consumers, including those incorporating standard contractual terms.

Real Estate Litigation

We advise developers, investors, landlords, tenants and companies in the construction sector on disputes arising from, among others:

  • Purchase and sale of real estate, enforcement of preliminary sale and purchase agreements, easements and contracts relating to other rights in rem;
  • Residential and non-residential lease agreements;
  • Construction contracts, including disputes over defects, delays in completion and enforcement of guarantees;
  • Expropriations and other related proceedings;
  • Condominium and co-ownership matters;
  • Litigation relating to development projects.

Commercial and Corporate Litigation

We represent investors, venture capital companies, start-ups, individual partners, majority shareholders and other stakeholders, as well as directors or creditors, in a wide range of disputes arising within corporate groups, including but not limited to:

  • Commercial agreements, such as distribution, franchising, brokerage, concession, agency and service contracts;
  • Business transfer agreements, assignment of exploitation agreements and financial leasing;
  • Disputes relating to breaches of consortium agreements and agreements for complementary groupings of companies;
  • Financing agreements, banking contracts, bank guarantees, financial pledges and other related instruments;  
  • Suspension and challenges of corporate resolutions, shareholder disputes, issues arising from shareholders’ agreements, corporate governance matters and inter-shareholder relationships (including share redemption or exclusion of shareholders);
  • Civil liability claims involving directors and officers, shareholders, supervisory bodies, statutory auditors, or actions against the company itself;
  • Litigation concerning mergers and acquisitions (M&A), demergers and disputes arising from investment agreements;
  • Corporate restructuring proceedings, as well as pre- and post-acquisition, merger and sale disputes within or outside the group.

Restructuring and Insolvency

We represent companies facing financial distress and/or insolvency, as well as creditors and/or estates by:

  • Developing recovery plans within the framework of various proceedings, including negotiating with creditors (such as financial institutions and other stakeholders) to secure approval of proposed plans, whether aimed at business continuity or asset and receivables recovery;
  • Advising creditors and companies in restructuring and insolvency proceedings, including company revitalisation proceedings (“PER”) and out-of-court corporate recovery proceedings (“RERE”);
  • Supporting negotiations with stakeholders, both within and outside formal recovery or insolvency processes;  
  • Representing estates in safeguarding their interests, particularly in actions for clawback or resolution in favour of the estate.

Class Actions and Collective Litigation

CCA’s dispute resolution team advises national and international clients in collective actions, whether for the protection of consumer interests, enforcement of competition law (private enforcement), or environmental protection, across all business sectors.

Fundamental Rights, Freedom of Expression and Freedom of the Press  

We represent media organisations, private individuals and companies in cases involving violations of fundamental rights, particularly freedom of expression and freedom of the press. Our experience includes:

  • Litigation concerning the protection of image, honour and other personality rights.
  • Handling matters relating to freedom of the press and freedom of expression before courts and regulatory authorities.  

Industrial and Intellectual Property - Unfair Competition and Trade Secrets

  • Protecting businesses against acts of unfair competition, client poaching, misleading advertising and breaches of trade secrets;
  • Acting in urgent proceedings, including interim measures and claims for damages arising from anti-competitive practices;
  • Litigation concerning copyright and related rights of artists and performers across all sectors, from music and literature to theatre and fashion;
  • Actions relating to infringement, invalidity, lapse and counterfeiting of trade marks, patents, designs and software;

Arbitration and mediation are increasingly recognised as effective methods for resolving business disputes, offering confidentiality, speed and predictability. We represent clients in both ad hoc and institutional arbitration, domestic and international, particularly in disputes of a commercial, financial, construction, investment and sports nature. Our services include advising on proceedings for the annulment, recognition and enforcement of arbitral awards.

We also assist with facilitated negotiations and business mediation, including in consumer, mobility and technology disputes, promoting solutions that preserve commercial relationships and minimise risk.
